TERMS OF USE / TERMS OF SERVICE This Terms of Use / Terms of Service Agreement (the "Agreement") governs your access to and use of the Digital Minds Web Solutions LLC FZ web-based SaaS platform and associated services (the "Platform"). 1. ACCEPTANCE OF TERMS By registering for an account, accessing, or using the Platform, you, as a Merchant, agree to be bound by these Terms. If you do not agree to these Terms, you must not register for or use the Platform. 2. DEFINITIONS 2.1 "Platform" refers to the web-based SaaS platform provided by Digital Minds Web Solutions LLC FZ, including its dashboard, reporting tools, settings, and integration functionalities. 2.2 "Merchant" refers to the individual or entity that registers for and uses the Platform to access payment processing panel and related services. 2.3 "Account" refers to the Merchant's registered access to the Platform. 2.4 "Services" refers to the functionalities and features provided through the Platform, such as accessing the payment processing panel, viewing reports, managing settings, and utilizing integration tools. 3. PURPOSE OF THE PLATFORM The Platform is designed to provide Merchants with a secure online panel to manage their payment processing activities, including accessing dashboards, viewing transaction reports, configuring account settings, and utilizing integration tools. This Agreement specifically covers the use of this web-based panel and its associated features. 4. ACCOUNT REGISTRATION & SECURITY 4.1 To access certain features of the Platform, you must register for an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. 4.2 You are responsible for maintaining the confidentiality of your Account password and for all activities that occur under your Account. You agree to notify Digital Minds Web Solutions LLC FZ immediately of any unauthorized use of your Account or any other breach of security.

4.3 You are responsible for implementing and maintaining appropriate access controls to your Account. 5. ACCEPTABLE USE POLICY You agree not to use the Platform: a. For any illegal or fraudulent activities. b. To abuse, harass, threaten, or impersonate any person or entity. c. To gain unauthorized access to the Platform, other accounts, computer systems, or networks connected to the Platform. d. To interfere with or disrupt the integrity or performance of the Platform or the data contained therein. e. To upload, post, or transmit any content that contains viruses, malware, or any other harmful computer code. 6. INTELLECTUAL PROPERTY All intellectual property rights in the Platform, including but not limited to its user interface (UI), application programming interfaces (API), software, design, trademarks, and branding, are the exclusive property of Digital Minds Web Solutions LLC FZ or its licensors. You are granted a limited, non-exclusive, non-transferable right to use the Platform solely for its intended purpose as a Merchant. 7. DATA & CONFIDENTIALITY BASICS Your use of the Platform may involve the submission of data. Digital Minds Web Solutions LLC FZ will handle your data in accordance with its Privacy Policy, which is available on our website. You agree to maintain the confidentiality of any sensitive information accessed through the Platform. 8. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, Digital Minds Web Solutions LLC FZ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Platform; (b) any conduct or content of any third party on the Platform; or (c) unauthorized access, use, or alteration of your transmissions or content. 9. SUSPENSION / TERMINATION OF PANEL ACCESS Digital Minds Web Solutions LLC FZ reserves the right to suspend or terminate your access to the Platform at its sole discretion, without notice, for any reason, including but not limited to a breach of these Terms or any applicable law. Upon termination, your right to use the Platform will immediately cease.

10. RELATIONSHIP TO FULL MERCHANT AGREEMENT These Terms of Use govern your access to and use of the Platform. They do not replace or supersede any separate Merchant Agreement you may have entered into with Digital Minds Web Solutions LLC FZ regarding payment processing services. The terms and conditions of any such Merchant Agreement will govern your payment processing activities, and in the event of a conflict between these Terms and the Merchant Agreement, the Merchant Agreement shall prevail with respect to payment processing terms. 11. CHANGES TO TERMS Digital Minds Web Solutions LLC FZ reserves the right to modify or amend these Terms at any time. We will notify you of any changes by posting the updated Terms on the Platform or by other reasonable means. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms. 12. GOVERNING LAW AND JURISDICTION These Terms shall be governed by and construed in accordance with the laws of United Arab Emirates, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in United Arab Emirates for the resolution of any disputes arising out of or relating to these Terms or your use of the Platform. 13.
